Talent Partner Terms & Conditions
1. Introduction
These Terms & Conditions govern the collaboration between Juucy Software GmbH (“Juucy” or “Provider”) and independent recruiters (“Talent Partner”). By signing up on Juucy’s platform, Talent Partners agree to the terms outlined below. This agreement ensures a transparent, efficient, and rewarding recruitment process for all parties.
2. About Juucy
Juucy is a marketplace that connects independent recruiters (i.a. freelance, agencies) with companies seeking top talent. Our mission is to empower recruiters by eliminating client acquisition hurdles, enabling you to focus on sourcing and nurturing candidate relationships.
3. Talent Partner Benefits
- Access to top, vetted clients without any business development or acquisition efforts.
- Utilize Juucy’s platform, branding, and sourcing tools to accelerate recruitment.

4. Roles & Responsibilities
4.1 Talent Partner Responsibilities
- Source and submit qualified candidates via the Juucy platform.
- Conduct initial candidate briefings and pre-qualification interviews.
- Ensure accuracy and completeness of candidate data (CV, salary expectations, availability, notice period, cultural fit, etc.).
- Use Juucy’s Applicant Tracking System (ATS) for all candidate submissions.
4.2 Juucy’s Responsibilities
- Forward candidates to clients and ensure transparency throughout the hiring process.
- Gather feedback and maintain up-to-date hiring statuses.
- Communicate rejections, interview schedules, and hiring decisions.
5. Fee Structure & Payments

5.1 Candidate Ownership & Fee Eligibility
- Talent Partners retain candidate ownership for six months after submission.
- If a candidate is hired within this period, the Talent Partner is entitled to a placement fee.
- If another recruiter actively re-engages the candidate, ownership may be reassigned.
5.2 Invoice & Payment Terms
- Juucy informs Talent Partners within 14 days of any due fees.
- Talent Partners must submit their invoice promptly. Payment is made within 14 days of a valid invoice.
- All fees are net amounts, with applicable VAT added where necessary.
6. Exclusivity & Withdrawal Conditions
- Certain roles may be exclusive to specific Talent Partners for a limited period.
- Exclusivity may be extended or withdrawn based on performance.
- If exclusivity is withdrawn, this will be communicated transparently.
7. Platform Guidelines & Prohibited Activities
Talent Partners must uphold professionalism and platform integrity. The following activities are strictly prohibited:
- Contacting candidates before being assigned a role.
- Spamming candidates or re-engaging those who have expressed disinterest.
- Misrepresenting client details or sharing false information.
- Ignoring job briefing notes or hiring manager instructions.
- Failing to adhere to client-provided feedback and hiring criteria.
Non-compliance may result in account suspension or termination.
8. Candidate Tracking & Assignment
- Candidates are assigned to Talent Partners via:
- ATS Upload – Automatic assignment through profile submission
- Self-Application – Candidates applying after referral
- Database Registration – If a Talent Partner registers a candidate who later applies
- If assignment is unclear, candidates must confirm recruiter involvement before signing an employment contract.
9. Contract Duration & Termination
- The agreement begins upon registration or signature of the Cooperation Agreement.
- Either party may terminate the agreement with four weeks’ notice, in writing (including digitally signed PDFs via email).
- Upon termination, the Talent Partner must return any Juucy property and delete confidential data.
10. Non-Solicitation & Third-Party Activities
- Talent Partners must not solicit Juucy’s clients for direct business during and 12 months after contract termination.
- If working with competing platforms, Talent Partners must disclose this to Juucy.
11. Confidentiality & Data Protection (GDPR Compliance)
- Talent Partners must maintain confidentiality regarding Juucy’s clients, processes, and candidate data.
- Data may not be shared, sold, or disclosed without explicit permission.
- Talent Partners must implement appropriate technical and organizational measures to prevent unauthorized access to personal data, in accordance with GDPR Article 32.
- Any data breaches must be reported immediately to Juucy.
- If subcontractors are used, they must comply with GDPR and be pre-approved by Juucy.
12. Liability & Dispute Resolution
- Juucy is not liable for unfulfilled hiring processes, external factors affecting recruitment, or candidate withdrawals.
- In the event of a dispute over candidate ownership or placement fees, Juucy will make the final decision based on platform records.
- The exclusive place of jurisdiction for all disputes arising under this agreement is Berlin, Germany.
13. Final Provisions
- Talent Partners must be at least 18 years old.
- This agreement supersedes all previous agreements between Juucy and the Talent Partner.
- Amendments must be made in writing.
- If any provision is found to be invalid, it does not affect the validity of the remaining provisions.
14. Independent Contractor Relationship
By joining Juucy as a Talent Partner, you acknowledge and agree that you are acting as an independent contractor, business owner, or representative of an independent recruiting agency. Nothing in these Terms & Conditions, nor your participation on the juucy platform, shall be construed as creating an employment, agency, joint venture, or partnership relationship between you and juucy, or between you and any client company. You are not entitled to employee benefits, paid leave, or other employment protections.
As a Talent Partner, you are free to accept assignments from multiple clients, set your own working hours, use your own tools and resources, and determine your own methods for fulfilling assignments, subject only to general quality standards applicable to all users of the Juucy platform. You are solely responsible for your own tax obligations, social security contributions, and compliance with all applicable laws governing self-employment or business activity in your jurisdiction.
Juucy acts solely as a marketplace and intermediary to connect independent recruiters with client companies. You remain solely responsible for ensuring that your activities do not constitute dependent employment (“Scheinselbstständigkeit”) under applicable German or European law.
